What you will get involved in
Management, administration and coordination of the company secretariat activities in the TalkTalk Group, including governance practices and statutory compliance.
Maintenance of the company secretarial governance, statutory registers, and legal records for group, including the main operational entities, acquired business entities and legacy companies.
Responsible for the diarising, preparation of agenda, board papers and drafting minutes for TopCo board.
Assist in ensuring compliance with all applicable laws and relevant guidance (Companies Act 2006 and Wates Principles for Large Private Companies), where appropriate and providing advice and guidance as required.
Point of contact for all company secretariat matters and be responsible for promoting a consistent and high standard of governance.
Assist with the co-ordinating of the Annual Report and Accounts and drafting Corporate Governance Report, as well as facilitating the year end processes. Including distribution of report to c.200 shareholders.
Planning ahead for each FY, gathering all relevant board information well ahead of time and act as legal point of contact for external auditors.
Maintain strong working relationship with internal and external stakeholders e.g. Finance, Reward, Regulatory and PR, Courts, TISE, Law Firms and Registrars, providing subject matter expertise.
Manage relationship with our Registrars (Equiniti).
Support to General Counsel on legal matters including mergers and acquisitions, re-financing and ad-hoc legal projects.
Maintain list of directors’ interests and conflicts of interest.
Undertaking ad-hoc administrative duties for the legal team, including managing the legal budget, Workday employment requests, raising purchase orders and diary management for

Previous experience in a Company Secretary or Assistant Company Secretary role is a must
